Agreement and Terms:
You, the person visiting this web site, by your use of this web site agree to the following agreements and terms: You as an authorized officer or agent for yourself or your company or organization, also known as (buyer) in this agreement, authorize Community Networks and Clear Image Media, also known jointly and expertly as (seller) in this agreement, to produce and place all community campaigns also known as the (production) in this agreement, you decide to sponsor. (Buyer) warrants that any and all material buyer may supply to (seller) is royalty free and under (buyer's) copyright or license. (Seller) shall have no liability for any materials supplied by (buyer) for any production, all such liability shall revert to (buyer). (Seller) will not retain credit card or other financial information unless (Buyer) request otherwise. All agreements between (buyer) and (seller) will be pre-pay in full by (buyer) to (seller) unless otherwise written. These terms may be amended by expressly written contracts between (buyer) and (seller) any terms not so amended will remain in force. All agreements between (buyer) and (seller) are firm and non-cancelable. If a credit card or electronic fund transfer was used to pre-pay any agreement, you (buyer) waive all rights and abilities, real or imagined, to “chargeback” any transaction for any reason excluding failure to air. (Buyer) guarantees personally and as an authorized officer of (buyer), to pay any and all invoices for the (production) when due. I acknowledge and agree that in the event of failure to timely pay amounts due hereunder, (seller) shall have the option to (I) immediately terminate this contract and collect from buyer all amounts due hereunder for any and all services rendered by (seller), and (ii) shall add to the amount due hereunder (including interest), all costs, expenses and attorney fees incurred in collecting amounts due hereunder. (Buyer) also acknowledges and agrees to all of the following: Interest at the rate of 18.5% per annum or, the highest legal rate will be charged automatically on all overdue invoices. All airtime is sold based on availability which may change without notice. (Seller) has the right to place (buyer) at (seller’s) sole discretion, on airtime of equal or better value in the same television DMA (as defined by Nielsen Market Research), in any case where (seller's) ability to air is compromised for any reason. Possession by (seller) of (buyer's) credit card or other financial information such as, but not limited to, banking routing numbers and account numbers, is proof of (buyer's) purchase. This agreement is the sole agreement between buyer and seller. All other agreements are null and void. No verbal representations have been made by, or are binding on (seller) or its representatives. (Seller’s) representatives may not bind seller to any specific task or action. (Seller) has no liability of any kind, performance or otherwise, regarding (production). (Buyer) hereby releases, discharges and agrees to save harmless (Seller), it’s representatives, assigns, employees or any person or persons, corporation or corporations, acting under its permission or authority, or any person, or persons, corporation or corporations, for whom it may be acting, in whatever form, from and against any liability. All property in the (production) granted to (seller) by U.S. Copyright law is retained by (seller), unless otherwise stipulated in a buyout agreement attached to this agreement. Any property (buyer) has in the production is retained by (buyer). Failure by (buyer) to approve any screen layout and/or advertising proof does not mitigate, compromise, suspend, cancel or alter any agreement. Talent and Audio releases may not be transferable. (Buyer) may not alter the (production), in any way, without written permission from Clear Image Media and any and all other parties concerned, whoever they may be, (On screen talent, Musical talent, etc.). (Seller), as is customary in the industry, may use common elements of the (production), in other productions.
